CobbleStone Software is seeking a Corporate Lawyer to join our fast-growing team. As a Corporate Lawyer you will be responsible for responding to legal issues and opportunities which includes but is not limited to responding to questions, formatting, printing, pricing, custom responses, and screenshots etc. 

This essential team member will drive buying demand and corporate growth by assisting the EVP and Paralegal team in responding to legal issues, concerns, and questions. This individual will interact with leads in a variety of industries and across a broad geographic area. Ideal candidates should be eager to learn about the industry and target market. The Corporate lawyer is an individual contributor responsible for responding to company legal issues, concerns and questions and working closely with the legal tea, EVP, and many other teams.

PRIMARY RESPONSIBILITIES

  • Lead all corporate legal matters, formation and management of legal entities, regulatory filings, etc.
  • Drafting and critical review of bid proposals/purchase and sale agreements, third party engagement letters, non-disclosure agreements, and other agreements related to the license agreement, privacy, GDPR, employment matters, vendor/contractor agreement
  • Oversee legal aspects of project development
  • Advise management on strategic issues and corporate policies and procedures, contract template development and maintenance
  • Synchronize legal and business terms across various agreements in a coordinated manner
  • Identify risks and propose alternative strategies in order to mitigate risks while accomplishing the preferred path forward for the project if possible
  • Provide legal support for drafting and negotiation of commercial agreements;
  • Provide legal activities on a variety of matters, including licenses, intellectual property, privacy, tax, employment, ADA, federal acquisition regulation, insurance, risk mitigation, and other corporate legal activities
  • Management; employment and labor law; import/export reporting requirements; customs; antitrust; trade controls
  • Provide legal counsel and support in corporate governance and compliance matters
  • Lead legal negotiations, dispute resolution and other related corporate matters
  • Liaise with the various business units of the Company, as well as counterparty lawyers
  • Create, review, and monitor internal processes and procedures
  • Assist with weekly, monthly, and quarterly legal, and financial matters
  • Assist with implementation of HR policies, compliance and procedures
  • Lead activities related to the preparation and presentation of various issues to internal clients and management together with analyses, options, and recommendations
  • Manage the planning and tracking of the Legal Department Budget and Expenses
  • Manage legal filing, legal system; monitor and report relevant legal developments to internal clients
  • Manage strategy and relationships with external counsel
  • Provide legal counsel and support in corporate governance and compliance matters
  • Analyze coverage needs and manage applications and renewals of professional, management and employment practices liability insurance.
  • Advise on global regulation of practice of law requirements – entity licensing, registration, and regulation; corporate operation file maintenance; record retention.
  • Oversee internal compliance with external requirements and internal policies and procedures; advise on and manage required certifications.
  • Consult with new business intake process on conflict of interest and business acceptance issues, including engagement letters; joint representation analysis and documentation; suitability; information management; regulatory).
  • Review of vendor agreements; due diligence and assessments re same; review agreements for the retention of third-party service providers directly or indirectly for the benefit of clients.
  • Liaise with marketing and other internal departments with respect to completion of RFPs; client requests for information regarding firm’s practices/compliance with rules, laws, regulations and client requirements.

JOB QUALIFICATION & KEY SKILLS

  • Minimum 1 years of experience in a legal practice or in-house legal department
  • Licensure to practice law in at least one state with preference in New Jersey
  • Experience negotiating and drafting commercial agreements and contracts
  • Experience working independently and cross-functionally
  • Ability and willingness to timely meet fluid and changing priorities
  • Experience taking on complex projects
  • Excellent interpersonal skills and a team-oriented perspective
  • Excellent communication skills, both oral and written
  • Smart, decisive, organized, methodical, and biased toward action

  • Strong experience with common business software tools, such as Microsoft Office, Word red-linings and track changes, meeting management, and office communication tools
  • A Juris Doctorate degree from an accredited law school
  • Member in good standing of the Pennsylvania and/or New Jersey bar with an active license.
  • Minimum of 1+ years of legal experience working as a lawyer in a commercial law firm, with substantive training in product liability matters, including a minimum of 1 years in-house experience.
  • Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
  • Strong analytical and problem-solving skills with attention to detail.
  • Effective organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously.
  • Hands-on work ethic with willingness to assume heavy workload to meet timing and project needs.
  • Ability to meet deadlines in a fast-paced business environment and follow-up on pending issues timely.
  • High degree of personal integrity.
  • Superior oral and written communications skills, including comfort and confidence interacting with executives and external stakeholders.
  • A background in business, finance, or accounting is a plus.
  • Prior experience at a technology company.
  • Awareness of new or pending federal and state legislation, rules and regulations and industry developments and trends.
  • Excellent interpersonal skills, and the ability to thrive in a fast-paced legal environment
